1. Agreement

These Terms & Conditions ("Terms") govern your access to and use of ExclusiveMotorWorks.com and related digital services (the "Site") operated by Exclusive MotorWorks, Inc. ("EXM," "we," "us"), a California corporation, and your purchase of products through the Site. By using the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site.

2. Eligibility

You must be at least 18 years old and legally capable of entering binding contracts. The Site is intended for customers in the United States.

3. Products, Fitment & Intended Use

a. Vehicle fitment. Products are designed for the specific vehicle years, makes, models, and trims stated in each product listing. You are solely responsible for verifying that a product fits your vehicle before ordering. Fitment tools and guides on the Site are provided for convenience and do not guarantee compatibility with modified vehicles.

b. Off-road and track use. Certain products (including skid plates and related protection equipment) are intended to reduce — not eliminate — the risk of vehicle damage. No product sold on the Site is a safety device, and no product is warranted to prevent damage or injury. Motorsports, track driving, and off-road use are inherently dangerous. You assume all risk associated with the use of any product.

c. Installation. Unless otherwise stated, products are supplied uninstalled. You are responsible for correct installation, including following supplied instructions and applicable torque specifications, or engaging a qualified professional. EXM is not liable for damage arising from improper installation. Windshield protection film requires professional-grade installation technique; installation guides are provided, and improper installation is not a product defect.

d. Regulatory compliance. You are responsible for ensuring any product complies with laws applicable to your vehicle and jurisdiction, including inspection, glazing, and equipment regulations.

4. Orders, Pricing & Payment

a. All prices are in U.S. dollars and exclude taxes and shipping unless stated otherwise. b. Your order is an offer to purchase; we may accept or decline any order, including for suspected fraud, pricing or listing errors, or stock limitations. c. In the event of an obvious pricing or description error, we may cancel the affected order and refund any amounts paid. d. You authorize us and our payment processors to charge your selected payment method for the total order amount, including taxes and shipping. e. Clicking "Buy," "Pay now," or similar constitutes your binding electronic signature under the ESIGN Act and UETA.

5. Made-to-Order Products

Windshield protection film is precision-cut to your vehicle's pattern after you order, and merchandise is printed on demand. These items are made specifically for you; see the Return and Refund Policy for how this affects cancellations and returns.

6. Shipping & Risk of Loss

Shipping terms, rates, and dispatch locations are described in our Shipping Policy, which is incorporated into these Terms. Title and risk of loss pass to you upon our delivery of the product to the carrier. Report transit damage as described in the Return and Refund Policy.

7. Returns

Returns are governed by our Return and Refund Policy, which is incorporated into these Terms. All authorized returns must be shipped back to the factory of origin identified in your return authorization.

8. Warranties & Disclaimers

EXCEPT AS EXPRESSLY STATED IN A MANUFACTURER'S WARRANTY ACCOMPANYING A PRODUCT, ALL PRODUCTS AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND EXM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WHERE A MANUFACTURER PROVIDES A WARRANTY, YOUR REMEDY UNDER THAT WARRANTY IS AGAINST THE MANUFACTURER TO THE EXTENT PERMITTED BY LAW, AND WE WILL REASONABLY ASSIST YOU IN MAKING A WARRANTY CLAIM. SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXM SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING VEHICLE DAMAGE, LOSS OF USE, OR LOST PROFITS, ARISING FROM THE SITE OR ANY PRODUCT. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE PRECEDING 12 MONTHS, OR (B) $100.

10. Indemnification

You will indemnify and hold harmless EXM and its officers, directors, employees, and agents from claims arising out of your breach of these Terms, your violation of law, your installation or use of any product, or content you submit to the Site.

11. Acceptable Use

You may not use the Site to: violate any law; infringe intellectual property; upload malware; scrape or harvest data; probe or breach security measures; interfere with the Site's operation; or impersonate any person. We may suspend or terminate access for violations.

12. User Content

Content you submit (reviews, photos, comments) is non-confidential. You grant EXM a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, and display such content for business and marketing purposes. We may remove any content at our discretion.

13. Intellectual Property

The Site and all content, trademarks, and designs are owned by EXM or its licensors and protected by law. You may share Site content on social media only via unaltered links back to the Site.

14. Electronic Communications

You consent to receive communications from us electronically, including by email and text message, and agree that electronic communications satisfy any legal requirement of a writing. Transactional messages about your orders cannot be opted out of while an order is active. Marketing consent is not a condition of purchase; opt out anytime via unsubscribe links or by replying STOP. Calls may be recorded where lawful.

15. Third-Party Links & Affiliate Marketing

We are not responsible for third-party websites or services. Affiliate links on the Site may generate commissions; their presence is not an endorsement.

16. Dispute Resolution & Binding Arbitration

Governing law: State of California, without regard to conflict-of-law principles. Arbitration: Any dispute arising out of these Terms or your use of the Site shall be resolved exclusively by binding arbitration before a single arbitrator of the American Arbitration Association in Napa County, California, except that either party may seek injunctive relief in court for intellectual property matters, and either party may bring qualifying claims in small-claims court. Class action waiver: All claims must be brought individually; class, consolidated, or representative actions are waived. Time limit: Claims must be filed within 12 months of accrual or are barred. If the arbitration provision is held unenforceable, exclusive jurisdiction lies in the state and federal courts of Napa County, California.

17. California Notice (Civil Code § 1789.3)

California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or 1-800-952-5210.

18. General

Severability: invalid provisions are severed; the remainder stays in force. No waiver: failure to enforce a provision is not a waiver. Assignment: you may not assign these Terms without our consent; we may assign freely. Changes: we may update these Terms at any time; continued use after posting constitutes acceptance. Entire agreement: these Terms, together with the Privacy Policy, Shipping Policy, and Return and Refund Policy, are the entire agreement between you and EXM regarding the Site.
